The Alarm Lock® Number Ones Promo Sweepstakes (the "Sweepstakes") is sponsored by Alarm Lock Systems, LLC. (a division of Napco Security Technologies, Inc.) ("Alarm Lock®," "we," "us" or "our"), and is wholly unaffiliated with Harley-Davidson/Harley-Davidson Motor Company/ H-D U.S.A., LLC. By entering the Sweepstakes, you agree to comply with and be bound by the following Alarm Lock® Number Ones Sweepstakes Official Rules (the "Rules"). Please review the Rules carefully. If you do not agree to the Rules in their entirety, you are not permitted to enter the Sweepstakes.
ELIGIBILITY: The Sweepstakes is open only to legal residents of the contiguous forty-eight (48) United States and the District of Columbia, living in the contiguous forty-eight (48) United States or the District of Columbia, who are twenty-one (21) years of age or older. The Sweepstakes is void in Puerto Rico and where otherwise prohibited by law. Employees, officers and directors of Alarm Lock® its distributors, each of their respective legal representatives, affiliates, parents, subsidiaries, advertising, promotional, fulfillment and marketing agencies, and their immediate families (and those living in their respective households), are not eligible to participate or claim a Prize (as defined below) in the Sweepstakes.
GENERAL TERMS: All federal, state and local laws, rules and regulations apply. By entering the Sweepstakes, you agree to the Sweepstakes winner selection and decisions of Alarm Lock®, which are final and binding in all respects. By entering the Sweepstakes, you agree to receive telemarketing, e-mail and direct mail marketing messages from Alarm Lock® and its corporate affiliates. Except as contemplated in these Rules, personal information collected in connection with the Sweepstakes will be used in accordance with the Alarm Lock® Privacy Policy ("Privacy Policy") featured on the Alarm Lock® website located at www.alarmlock.com (the "Site"). See the Privacy Policy for further details. LIMITED TIME ONLY: For purposes of these Rules, the "Sweepstakes Period" shall be the period beginning at 12:01:00 a.m. Eastern Standard Time ("EST") on Oct 1, 2020 and ending on 11:59:59 p.m. EST on June 30, 2021.
HOW TO ENTER: As detailed below, there are two (2) ways to enter the Sweepstakes during the Sweepstakes Period.
(a) Product Entries. Where a contestant purchases any Alarm Lock® Trilogy T2 Series product(s) (each, an "Alarm Lock® Product") during the Sweepstakes Period, that contestant can receive one (1) entry into the Sweepstakes for each separate Alarm Lock® Product purchased (each, a "Product Entry"). In order to submit a Product Entry, contestants must visit the Site and complete the Product Entry online registration form. Contestants may only register one (1) purchased Alarm Lock® Product at a time. In order to complete the Product Entry registration form, each contestant must include: (i) her/his company name; (ii) her/his full name; (iii) her/his e-mail address; (iv) her/his city, state and zip code; (v) the Alarm Lock® Product model purchased; (vi) where the subject Alarm Lock® Product was purchased from, specifically and exclusively from the list of participating distributors specified on the Entry Form ; (vii) the date that the subject Alarm Lock® Product was purchased; (viii) her/his profession type; (ix) the lock brand used most; (x) the access control brand used most; (xi) which applications she/he typically secures; (xii) whether she/he uses networked locks (xiii) an uploaded photograph of the Alarm Lock® Product invoice/receipt with circled price and date of purchase (must be in JPG or PDG format) ("Distributor Invoice"); and (xiv) any other information requested on the applicable form (collectively, "Site Registration Data"). Upon successful submission of all Site Registration Data by a contestant, including a legible Distributor Invoice in a format acceptable to Alarm Lock®, from a listed participating distributor, in its reasonable discretion, that contestant shall receive one (1) Product Entry for the subject Alarm Lock® Product. Any improperly submitted Product Entries will be VOID. Product Entries must be received by the conclusion of the Sweepstakes Period to be eligible for the Grand Prize (as defined below) drawing ("Grand Prize Drawing"), and by the end of the last day of the final calendar month June 30, 2020.
(b) Free Alternative Means of Entry. During the Sweepstakes Period, contestants may submit mail-in entries in the form of a postcard that contains the AMOE Registration Data, as defined below (each, an "AMOE Entry," and together with the Product Entries, the "Entries"). To complete an AMOE Entry, contestants must type or legibly write the following information on the applicable postcard: (i) full name; (ii) full mailing address; (iii) telephone number; and (iv) date of birth (collectively, "AMOE Registration Data," and together with the Site Registration Data, the "Registration Data"). Contestants may only submit one (1) AMOE Entry per postcard/envelope and any AMOE Entries submitted on the same postcard/envelope in excess of the one (1) per postcard/envelope limit will be discarded. Contestants must mail their AMOE Entry(ies) to: Alarm Lock, Attn: Number Ones Promo Administrator, 345 Bayview Ave., Amityville, NY 11701. All AMOE Entries must be postmarked by the 20th day of the Sweepstakes Period, and received by Alarm Lock® by the 25th day of the last contest month, June 2021, to be eligible for the Grand Prize Drawing. Any improperly submitted AMOE Entries (i.e. any envelope or postcard containing more than one (1) AMOE Entry or having invalid or incomplete AMOE Registration Data) will be VOID.
(c) General. Contestants must update their Registration Data, as necessary, to remain eligible to win a Prize. Alarm Lock® reserves the right to reject any Entry that it believes, in its sole and reasonable discretion, is fraudulent or is otherwise invalid. ALARM LOCK® IS NOT RESPONSIBLE FOR ATTEMPTED PRODUCT ENTRIES, AMOE ENTRIES, CLAIMS OR NOTICES THAT ARE LOST, LATE, ILLEGIBLE, MISDIRECTED, DAMAGED, INCOMPLETE OR INCORRECT. IF YOU FAIL TO SUBMIT AN ENTRY FOR ANY REASON WHATSOEVER, YOU WILL NOT QUALIFY FOR A PRIZE.
IDENTIFICATION OF ENTRANTS: Each Entry will be collected and stored in the Sweepstakes Database. For purposes of these Rules, the "Sweepstakes Database" is defined as the entire list of Entries that are collected during the Sweepstakes Period. Alarm Lock® will stop accepting Entries at the conclusion of the Sweepstakes Period.
HOW TO WIN A PRIZE:
(a) Grand Prize. At the conclusion of the Sweepstakes Period, one (1) potential Grand Prize winner will be randomly selected from among the then-current Sweepstakes Database. The potential Grand Prize winner will be notified by e-mail within five (5 ) business days after that potential Grand Prize winner is chosen (contestants should ensure that their Registration Data is accurate and up to date). The potential Grand Prize winner will be subject to eligibility verification. The potential Grand Prize winner will be required to execute and return a notarized Affidavit of Eligibility and Liability/Publicity Release within ten (10) days following attempted notification. Non-compliance in any way within this time period may result in forfeiture of the Grand Prize and an alternate potential Grand Prize winner will be selected. The potential Grand Prize winner will be required to provide picture proof of identification, which may include a driver's license, passport, voting card or similar government issued identification. In no event shall Alarm Lock® be liable in any manner where the potential Grand Prize winner has not received notification from Alarm Lock® or where Alarm Lock® fails to receive a response from the potential Grand Prize winner within the required response period. The potential Grand Prize winning Entry must identically match the records maintained by Alarm Lock® in order for the Grand Prize to be awarded. In the event of a dispute, the information maintained by Alarm Lock® will govern. Each Entry will be deemed made by the person under whose name and email address the applicable Entry was registered, regardless of who actually submitted the Entry. Be sure to use your own name and email address.
PRIZE DESCRIPTION:
(a) Grand Prize. The Grand Prize winner will receive one 2021 Harley-Davidson® Sportser®, Roadster® or equivalently-priced H-D model. Motorcycle will be delivered from a local H-D dealer located close to winner's residence located within the forty-eight (48) contiguous United States (termed here as the "Grand Prize").
(c) Grand Prize Terms and Conditions. The approximate retail value ("ARV") of the Grand Prize will be determined closer to the time of the drawing based on model/equipment. The specifics of all aforementioned elements of the Grand Prize shall be determined by Alarm Lock® in its sole and exclusive discretion. Some restrictions may apply. No refund or compensation will be made in the event of a delay of Grand Prize delivery. The Grand Prize winner is responsible for obtaining any applicable operating license and insurance (and all other forms of insurance) at their option, and the Grand Prize winner hereby acknowledges that Alarm Lock® has not and will not obtain or provide any other form of insurance.The Grand Prize winner must be at least twenty-one (21) years of age or older, unless accompanied by her/his parent or legal guardian, and must sign a Liability and Publicity Release.
(d) Taxes. All costs, taxes, fees, and expenses associated with any element of the Prize not specifically addressed above are the sole responsibility of the applicable Prize winner. All federal, state and local taxes associated with each Prize winner's receipt of the applicable Prize are that Prize winner's responsibility. In connection with the foregoing, the Grand Prize winner will be issued a 1099-MISC tax form for the actual value of the Grand Prize.
ODDS OF WINNING A GRAND PRIZE: The odds of winning the Grand Prize depend on the number of contestants that submitted Entries during the Sweepstakes Period.

NO SUBSTITUTION OF PRIZES: The Prizes are non-transferable and no substitution of Prizes will be made except as provided herein, or in Alarm Lock's® sole discretion. Alarm Lock® reserves the right to substitute the Grand Prize (or a component thereof) for one of equal or greater value if the designated Prize element(s) should become unavailable for any reason.
PUBLICATION: Acceptance of a Prize constitutes the applicable Prize winner's permission (and the permission of the travel companion, in the case of the Grand Prize) for Alarm Lock® to use the Prize winner's (as well as the travel companion's, in the case of the Grand Prize) name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation, excluding residents of the State of Tennessee and where otherwise prohibited by law.
PRIVACY STATEMENT: For a copy of the Privacy Policy, please Click Here. To the extent that the Privacy Policy is in conflict or inconsistent with these Rules as they pertain to the Sweepstakes, these Rules shall take precedence.
RELEASE: By entering the Sweepstakes, each contestant agrees to release and hold harmless Alarm Lock®, their respective legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents from and against any and all liability for any injuries, loss or damage of any kind arising from, or in connection with, the Sweepstakes including, but not limited to, liability arising from copyright infringement, improper use of likeness, personal injury, death, damages or monetary loss. Restrictions, conditions and limitations apply. By entering, each contestant further agrees that, in the event that there is any conflict or other inconsistency between the Rules and any advertisements, promotional or marketing materials, e-mails or announcements relevant to the Sweepstakes, these Rules will govern.
CHOICE OF LAW/DISPUTE RESOLUTION/CLASS ACTION: Any disputes arising out of or related to the Sweepstakes shall be governed by and construed in accordance with the laws of the State of New York (without regard to conflict of law principles). Should a dispute arise concerning the Sweepstakes, the terms and conditions of these Rules or the breach of same by any party hereto: (a) the parties agree to submit their dispute for resolution by arbitration before the American Arbitration Association ("AAA") in accordance with the then current Commercial Arbitration Rules of the AAA; and (b) you agree to first commence a formal dispute proceeding by completing and submitting an Initial Dispute Notice which can be found Here. We may choose to provide you with a final written settlement offer after receiving your Initial Dispute Notice ("Final Settlement Offer"). If we provide you with a Final Settlement Offer and you do not accept it, or we cannot otherwise satisfactorily resolve your dispute, you must submit your dispute for resolution by arbitration before the AAA as set forth above, or a reputable arbitration organization as mutually agreed upon by the parties, in your county of residence, by filing a separate Demand for Arbitration, which is also available Here. For claims of Ten Thousand Dollars ($10,000.00) or less, you can choose whether the arbitration proceeds in person, by telephone or based only on submissions. If the arbitrator awards you relief that is greater than our Final Settlement Offer, then we will pay all filing, administration and arbitrator fees associated with the arbitration and, if you retained an attorney to represent you in connection with the arbitration, we will reimburse any reasonable attorneys' fees that your attorney accrued for investigating, preparing and pursuing the claim in arbitration. Any award rendered shall be final and conclusive to the parties and a judgment thereon may be entered in any court of competent jurisdiction. Nothing contained herein shall be construed to preclude any party from: (i) seeking injunctive relief in order to protect its rights pending an outcome in arbitration; and/or (ii) pursuing the matter in small claims court rather than arbitration. Although we may have a right to an award of attorneys' fees and expenses if we prevail in arbitration, we will not seek such an award from you unless the arbitrator determines that your claim was frivolous.
To the extent permitted by law, you agree that you will not bring, join or participate in any class action lawsuit as to any claim, dispute or controversy that you may have against Alarm Lock® and/or its employees, officers, directors, members, representatives and/or assigns. You agree to the Entry of injunctive relief to stop such a lawsuit or to remove you as a participant in the suit. You agree to pay the attorney's fees and court costs that Alarm Lock® incurs in seeking such relief. This provision preventing you from bringing, joining or participating in class action lawsuits: (A) does not constitute a waiver of any of your rights or remedies to pursue a claim individually and not as a class action in binding arbitration as provided above; and (B) is an independent agreement. You may opt-out of these dispute resolution provisions by providing written notice of your decision within thirty (30) days of the date that you submit your first Entry.
DISQUALIFICATION/IRREGULAR ENTRIES: Alarm Lock®, its legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents, are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions or technical failure, lost or erroneous Product Entries, lost AMOE Entries, jumbled, scrambled or misdirected transmissions, or other error of any kind, whether human, mechanical or electronic. Persons found tampering with or abusing any aspect of the Sweepstakes, as solely determined by Alarm Lock®, will be disqualified. If disqualified for any of the above reasons, Alarm Lock® reserves the right to terminate contestant's eligibility to participate in the Sweepstakes. In the event that any portion of the Sweepstakes is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of Alarm Lock® which, in the sole opinion of Alarm Lock®, corrupts or impairs the administration, security, fairness or proper determination of the Sweepstakes, Alarm Lock® reserves the right, in its sole discretion, to suspend or terminate the Sweepstakes or any part of the Sweepstakes, or any combination of the above. Alarm Lock®, their respective legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents are not responsible for any problem with Entries generated by computer hardware or software malfunction, error or failure, whatever the cause. Alarm Lock's® sole responsibility for any irregular Entry is replacement with another Entry in a subsequent drawing.
INDEMNIFICATION: You agree to release, indemnify and hold Alarm Lock®, their respective legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents, harmless from and against any and all claims, expenses (including reasonable attorneys' fees, costs and settlement costs), damages, suits, costs, demands and/or judgments whatsoever, made by any third party due to or arising out of: (a) your participation in the Sweepstakes; (b) your breach of these Rules; and/or (c) your violation of any rights of another individual and/or entity. The provisions of this paragraph are for the benefit of Alarm Lock®, and Alarm Lock® legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents. Each of these individuals and entities shall have the right to assert and enforce these provisions directly against you on its own behalf.
LEGAL WARNING: Any attempt by any individual, whether or not a contestant, to damage, destroy, tamper with or vandalize the Site and/or Sweepstakes, or otherwise interfere with the operation of the Sweepstakes, is a violation of criminal and civil law and Alarm Lock® will diligently pursue any and all remedies in this regard against any offending individual or entity to the fullest extent permissible by law and in equity.
SEVERABILITY: Should any part of these Rules be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect.
